CELEBRATION VIDEO & FAMILY LEGACY VIDEO PACKAGE
CLIENT SERVICES AGREEMENT
This Client Services Agreement (“Agreement”) is entered into by and between Footage Fusion, LLC, an Ohio limited-liability company (“Company”), and the individual or entity completing Company’s online checkout and accepting these terms (“Client”). By submitting payment, checking the acceptance box, and providing an electronic signature, Client acknowledges that Client has read, understood, and agrees to be bound by this Agreement.
1. SERVICES
Company shall produce one (1) edited video-compilation package selected by Client at checkout (each, a “Package”):
Celebration Video Package – a single highlight video with a final length as stated for the specific Celebration tier purchased, compiled from individual clips supplied by up to the maximum number of participants listed on Company’s website.
Family Legacy Video Package – a single documentary-style video (final length as stated for the specific Legacy tier purchased) compiled from interview footage supplied by Client or recorded through Company’s collection platform.
All work product, deliverables, and ancillary tasks performed in connection with the selected Package constitute the “Services.” Company may fulfill the Services through its own personnel, designated representatives, and/or third-party partners and may provide similar or identical services to other clients. The parties remain independent contractors.
2. TERM
This Agreement becomes effective on the date payment is accepted (“Effective Date”) and continues until (a) Company delivers the final video deliverable or (b) the Agreement is terminated under § 8 (Termination). Packages are sold per project; no automatic renewal applies.
3. CLIENT RESPONSIBILITIES
Single Point of Contact. Client shall designate one individual as its sole representative for all approvals and communications.
Content Submission.
Celebration Package: All participant video messages must be uploaded within ten (10) calendar days of the upload-link email (or five (5) days with Rush Service).
Family Legacy Package: Interview footage must be supplied or recording sessions scheduled within fourteen (14) calendar days of purchase.
Instructions & Materials. Client shall supply photos, textual greetings, name spellings, properly licensed music preferences, branding assets, and all other materials at the same time footage is provided.
Timely Review. Client shall review drafts and deliver consolidated revision notes within seventy-two (72) hours of receipt (or forty-eight (48) hours with Rush Service). Absent timely response, deliverables are deemed approved.
Payment Method. Client shall maintain a valid, charge-ready payment method on file for any balance-due items, including optional Rush fees or add-ons.
Compliance. Client will not submit—and Company need not work with—content that is unlawful, fraudulent, defamatory, obscene, pornographic, violent, discriminatory, or otherwise objectionable in Company’s sole discretion. Company may refuse or remove such content without liability or refund.
No Implied Cancellation. Non-use of Services does not constitute cancellation; all payment obligations remain in force until the project is completed or terminated in accordance with § 8.
4. PAYMENTS
(a) Package Fee. Client shall pay the one-time package price shown at checkout. All fees are non-refundable.
(b) Rush Service (optional). For an additional $150 Rush Fee:
Client upload window = 5 days.
First edit = 2 business days after upload window closes.
Final delivery = 2 business days after timely revision notes (or after the revision-window expires).
(c) Failed or Late Payments. If a payment is declined or returned, Client has three (3) business days to cure the failure. Thereafter, a late fee of $100.00 per thirty (30) days, prorated daily, accrues on any outstanding balance.
(d) Suspension & Collection. Company may suspend Services for any payment more than five (5) days past due and may terminate this Agreement or refer the account to collections if any balance remains unpaid after thirty (30) days. Client is responsible for all collection costs, including reasonable attorneys’ fees.
(e) No Chargebacks; Fraudulent Chargebacks. Client waives all chargeback rights. Authorizing a chargeback for Services actually rendered may constitute theft of services. Client must repay any chargeback-credited amount within five (5) calendar days, plus interest at 10 % per month until paid.
5. OWNERSHIP OF WORK PRODUCT
All deliverables are “work made for hire” for Client; to the extent any portion is not deemed a work made for hire, Company hereby irrevocably assigns all right, title, and interest therein to Client. License-Back to Company: Client grants Company a perpetual, non-exclusive, worldwide, royalty-free license to display excerpts (≤ 30 seconds) for internal archives, portfolio, award submissions, and website/social-media marketing.
6. CONFIDENTIALITY
Both parties shall keep confidential any non-public information disclosed in connection with the Services, except where (i) required by law, (ii) necessary to prevent harm, (iii) used to defend a claim between the parties, or (iv) already public through no fault of the receiving party.
7. CLIENT ACKNOWLEDGEMENTS
Client understands Company cannot guarantee a specific emotional impact, number of social-media views, or other outcome. Company agrees only to perform Services in a professional manner consistent with industry standards.
8. TERMINATION
By Client. Client may cancel at any time before Company begins editing with written notice; amounts already paid remain non-refundable. After editing begins, Client may terminate on written notice, but no refund is due and Company may retain or destroy partial drafts until all outstanding balances are paid.
Breach & Cure. Either party may terminate for material breach, provided it first gives written notice describing the breach and thirty (30) days to cure.
By Company. Company may terminate at any time for any reason by written notice; it will complete any Services already paid for through the then-current phase unless termination is for Client’s breach, in which case Company may cease work immediately.
9. GENERAL TERMS
(a) Force Majeure. Neither party is liable for delay or failure to perform due to events beyond its reasonable control lasting more than thirty (30) days; Company may then terminate the Agreement.
(b) Notices. Notices under this Agreement must be in writing and sent by email to Client’s email of record and to contact@footagefusion.com (or any updated address supplied in writing).
(c) Governing Law. Ohio law governs, without regard to conflict-of-law rules.
(d) Dispute Resolution. Disputes not resolved by negotiation shall proceed to JAMS mediation and, if unresolved after sixty (60) days, to JAMS arbitration before one arbitrator. Hearings will be conducted virtually. The prevailing party is entitled to reasonable attorneys’ fees.
(e) Limitation of Liability; Release. Company shall not be liable for indirect, incidental, consequential, special, or exemplary damages. Company’s total liability shall not exceed amounts paid by Client under this Agreement. Client releases Company and its personnel from all claims arising from the Services.
(f) Indemnification. Client shall defend, indemnify, and hold harmless Company and its representatives from any claim arising from (i) Client’s breach of this Agreement, (ii) Client’s acts or omissions, or (iii) Client’s violation of law.
(g) Severability. If any provision is unenforceable, the remainder of the Agreement remains in effect.
(h) Non-Disparagement. Neither party will make statements reasonably likely to disparage the other.
(i) Remedies; No Waiver. All rights and remedies are cumulative; failure to enforce any provision is not a waiver.
(j) Entire Agreement. This Agreement (including Exhibit 1) is the entire agreement between the parties and supersedes prior discussions. It may be amended only in writing signed by both parties. Electronic counterparts are deemed originals.
